Terms & Conditions — Unregulated Services

These Terms and Conditions (“Agreement”) govern your engagement with J. Knobel Investor Services Limited (the “Company”) for services that are outside the scope of regulated investment services under the Investment Services and Activities and Regulated Markets Law of 2017 (Law 87(I)/2017), and the European Directive 2014/65/EU (MiFID II).

1. Legal Status of the Company

J. Knobel Investor Services Limited is a Cyprus-incorporated legal entity (Reg. No. HE 379422 ), acting as a tied agent of Mega Equity Securities & Financial Services Public Ltd, a Cyprus Investment Firm licensed by the Cyprus Securities and Exchange Commission (CySEC, License No. 011/03).

In its capacity as tied agent, the Company is authorised to promote and offer specific regulated services on behalf of Mega Equity. However, it may also provide certain unregulated services independently, such as financial planning and onboarding support, which are the subject of this agreement.

2. Scope of Unregulated Services

Unregulated services provided directly by J. Knobel Investor Services Limited include, but are not limited to:

• Personal financial goal setting and budgeting
• Retirement and estate planning strategies
• General financial literacy coaching
• Onboarding documentation support
• Portfolio structure analysis (without investment recommendation)
• Risk profiling and client-preparedness consultations

These services do not involve investment advice, reception and transmission of orders, or execution activities, and are not governed by MiFID II.

3. Fees & Billing

Fees for unregulated services are charged directly by the Company to the client and are not subject to MiFID II cost disclosure requirements. However, the Company will provide:

• Transparent, written fee quotations prior to engagement
• Itemized invoices and service descriptions
• No hidden or performance-based fees

4. No Fiduciary or Regulated Relationship

Engagement for unregulated services does not create a regulated client relationship under CySEC rules or MiFID II.

The Company:

• Does not execute trades or manage investments on your behalf under this agreement
• Provides general, non-product-specific planning without recommending specific financial instruments
• Does not hold or transmit client funds or assets

If you wish to engage in regulated investment activity, you will be referred to Mega Equity Securities & Financial Services Public Ltd, where MiFID II and CySEC protections apply.

5. Disclaimers

While the Company endeavors to offer accurate and helpful guidance:

• All planning services are provided for informational purposes only
• The Company makes no warranties as to the accuracy or suitability of any strategy unless explicitly stated
• Clients should seek separate legal or tax advice where applicable

6. Data Protection

All personal data is collected, processed, and stored in accordance with the General Data Protection Regulation (GDPR) and Cyprus Law 125(I)/2018. Your data will not be shared or sold without your explicit consent. See our Privacy Policy for more.

7. Governing Law & Jurisdiction

This Agreement is governed by the laws of the Republic of Cyprus. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Cyprus courts.
